Geens´s jump – Draft bill of new company law approved

On the eve of the national holiday, the Council of Ministers approved the preliminary draft bill "introducing the Companies and Associations Code, and containing miscellaneous provisions" of Minister of Justice Koen Geens.

This is the next step in a process that will subject our company law to a series of changes - some of them basically cosmetic interventions, others much more fundamental in nature. One of the most remarkable things in the brief press release issued on the occasion of the Council of Ministers’ meeting and in the more detailed interpretation that Minister Geens offers on his own website, is that the current BVBA would be renamed as a BV and that the limitation of the number of penal sanctions in the Companies Code is highlighted as one of the main points. For more information we will have to wait for the actual texts to be made public.

The draft bill now goes to the Council of State for advice. In the meantime, our separate web page dedicated to the new company law is updated whenever more information becomes available.
